  1. Game description

Governance

At Crypto Spells, we are challenging the transfer of governance authority to stakeholders through governance voting in order to realize a game that is created together with all stakeholders, as the ideal form of a blockchain game.

Some matters related to the secretariat, such as modifying card parameters and changing the content of missions, will be decided by user discussion and governance voting.

This page explains the governance decision process, voting tools, and detailed rules of governance.

Governance decision process

① Forum proposal A proposal is made when a governance proposal holder (a user who holds 50,000 TCGC or more) posts a proposal on the official Discord forum.

*The same proposer cannot make multiple proposals by the end of the vote. However, this does not include cases where the secretariat may need multiple proposals.

*Proposals are free except for matters that violate laws and regulations.

*The secretariat will not make proposals that violate the parameter adjustment guidelines, but if the proposed governance vote is passed, it will be implemented. In this case, the secretariat will not provide compensation. ② Forum discussion The discussion period is approximately two weeks from the forum post. The secretariat will present whether or not the implementation is feasible, and the implementation time (estimated release date).

③ Governance submission

After the discussion in the forum is over, the proposer can submit a voting proposal to the secretariat in the relevant forum window.

④ Voting

Vote creation date: The vote will be created at the secretariat's discretion within 7 days of submission.

Voting period: 3 days (72 hours)

⑤ Announcement, implementation

If the proposal is approved as a result of the vote, the implementation schedule will be published on discord.

Governance proposal rights

Users who hold 50,000 TCGC or more have the right to propose governance.

About the governance voting tool

We use CryptoVoting as the voting tool.

Below is an introduction to the voting page and how to vote by entering Discord commands.

Access the voting page and vote using the following procedure.

①Connect your wallet with ConnectWallet ②Enter the Poll ID and Choice (choice number) according to the content and choice you want to vote for ③Press Vote

[Voting by command on Discord]

「!wallet」Link your Discord account and wallet. By entering this command, the link required for linking will be sent to your Discord DM. 「!address」Displays the wallet address linked to your Discord account.

[Voting commands]

「!vote x y」This is the command for voting. x is the voting ID and y is the choice number. 「!progress x」Displays the voting status for each choice.

Detailed Governance Propsal Rules

  1. Governance Voting and Proposals (1) In these rules, "Governance Voting" refers to the process and procedures for deciding matters related to the operation of CryptoSpells through a majority vote by TCGC holders. (2) A "Governance Proposer" (referring to the Secretariat and any individual holding 50,000 TCGC at the time of the proposal; hereinafter, unless otherwise specified, referred to in the same manner in these rules) may propose that a Governance Vote be held on specific matters related to the operation of CryptoSpells (hereinafter referred to as a "Governance Proposal"). (3) Governance Voting shall be conducted using a platform designated by the Secretariat.

  2. Procedure for Governance Proposals (1) When a Governance Proposer intends to make a Governance Proposal, they must post the title and the content of the proposed item clearly in the CryptoSpells Discord channel "governance-forum" at least two weeks before the intended date of the vote (this two-week period is referred to as the "Deliberation Period"). (2) After the Deliberation Period, the Governance Proposer shall present the Governance Voting options (in both Japanese and English), along with the estimated workload (effort required) for each option. However, they may modify the original proposal content as long as it does not deviate from the purpose indicated in the proposal title. (3) Among the options presented, there must be one representing opposition (i.e., maintaining the status quo). (4) Governance Voting shall be conducted over a period of three days, and the option that receives the highest number of TCGC-weighted votes shall be adopted. However, the Governance Proposer may stipulate different approval requirements.

  3. Emergency Proposals (1) Notwithstanding the provisions of the previous article, a Governance Proposer may make a Governance Proposal without the Deliberation Period (hereinafter referred to as an "Emergency Proposal"). In such cases, the proposer must clearly state that the proposal is an Emergency Proposal. (2) The procedure for Emergency Proposals shall follow the provisions of the previous article (excluding paragraph (1)). However, proposals whose purpose cannot be achieved if subjected to a three-day voting period cannot be submitted even as Emergency Proposals. (3) If an Emergency Proposal is rejected, the Governance Proposer (excluding the Secretariat) must pay 1,000 TCGC to the Secretariat.

  4. Workload Management and Secretariat's Right of Rejection (1) When making a Governance Proposal, the proposer must confirm the workload with the responsible person in the Secretariat. (2) The responsible person in the Secretariat must promptly respond with the estimated workload for the proposal. (3) The Secretariat may reject a proposal or declare a vote invalid—even after approval—if the proposal meets any of the following conditions:  ① It violates laws or the Terms of Use;  ② It is technically unfeasible or excessively burdensome in terms of required workload;  ③ It is not related to the operation of CryptoSpells;  ④ It clearly conflicts with the business policy of CryptoGames Inc. (or its successor, in case of business transfer). (4) If the Secretariat rejects a proposal or declares a vote invalid under the previous paragraph, it must publicly disclose the reason (including specific details, not just the clause number) to the Governance Proposer via the relevant Discord channel.

  5. Prevention of Proposal Overload A Governance Proposer (excluding the Secretariat) may not submit a new Governance Proposal until the results of the Governance Vote related to their previous proposal (posted pursuant to Article 2, Paragraph 1) are finalized. However, this restriction shall not apply if the Secretariat grants special permission or the proposer declares the proposal withdrawn.

  6. Implementation (1) The Secretariat shall implement matters approved by Governance Vote (hereinafter simply referred to as "Implementation") as promptly as possible within the scope of the monthly workload allocated for implementation. (2) Implementation shall be carried out in the order in which the approved proposals were passed, starting from the oldest. (3) Notwithstanding the preceding paragraph, matters falling under any of the following categories shall be implemented immediately. If multiple such matters exist, they shall be implemented in the order of approval, starting from the oldest:  ① Matters requiring zero workload;  ② Matters approved via Emergency Proposals;  ③ Matters proposed by the Secretariat that are recognized by the Secretariat as requiring particularly prompt implementation. (4) The Secretariat shall publish the monthly workload available for implementation and the implementation schedule on Discord.

  7. Revision and Repeal These rules may be revised or repealed only through a Governance Vote.
